The Limited Partnership in NY Part I - Formation
A Limited Partnership may be formed by the general partners executing a partnership agreement and filing a Certificate of Limited Partnership with the Department of State. The certificate must include name of the LP, the county location, designation of Secretary of State as its agent for service of process and an address to which the Secretary of State may mail a copy of any process received, name and address of each general partner and date on which the limited partnership is to dissolve.
Within 120 days after the filing of the certificate, the LP must publish in two newspapers, designated by the county clerk of the county in which the office of the LP is located, a copy of the certificate of limited partnership or a notice related to the formation of the LP over six consecutive weeks. A Certificate of Publication, with the affidavits of publication of the newspapers attached, must be submitted to the Department of State.
