The Business Corporation in NY Part II: Liability Issues
Whether owners are subject to personal liability for acts on behalf of their business, depends on the type of business entity they own. Shareholders liability is limited to their investment in the business, thus there is no personal liability for debts and losses of the business. However, limited liability will not protect the 10 largest shareholders from liability for paying the wages and benefits of the corporation’s employees.
